Rules for buying and selling goods
1. General provisions
1.1 These E-shop Rules (hereinafter referred to as the "Rules") are a legally binding document for the Buyer and the Seller (hereinafter referred to as the "Seller"), setting out the rights and obligations of the Parties.
1.2 The Seller reserves the right to change, amend or supplement these Terms and Conditions at any time. The Buyer shall be informed of changes to the Terms and Conditions on the website of the online shop.
2. Conclusion of the Purchase and Sale Agreement
2.1 The Purchase and Sale Agreement between the Buyer and the Seller shall be deemed to have been concluded when the Buyer forms and submits an order for the Goods in the online shop, having first read and understood these Terms and Conditions.
3. Seller's rights
3.1 In the event of serious circumstances, the Seller may temporarily or completely suspend the operation of the online shop without prior notice to the Buyer.
3.2 If the Buyer attempts to undermine the operation, stability and security of the e-shop or violates his/her obligations, the Seller shall have the right to restrict or suspend the Buyer's access to the e-shop without notice.
4. Obligations of the Seller
4.1 The Seller undertakes to make available the services of the online shop, the conditions of operation of which are set out in these Conditions.
4.2 The Seller undertakes to deliver the goods purchased by the Buyer by the delivery method chosen by the Buyer, in accordance with the terms and conditions set out in these Terms and Conditions of Sale.
4.3 Where, due to unforeseen circumstances, the Seller is unable to deliver the goods ordered in the online shop, the Seller shall have the right to terminate the Purchase and Sale Agreement by informing the Buyer in advance. The Seller may offer a similar product. If the Buyer refuses, the Seller undertakes to refund the money paid within 3 working days.
4.4 If the Buyer exercises the right provided for in Clause 5.2 of the Terms and Conditions, the Seller undertakes to refund the Buyer within 5 (five) working days from the date of receipt of the returned goods.
4.5 The Seller may not refund the amount paid by the Buyer until the Goods have been returned to the Seller or until the Buyer has provided proof that the Goods have been dispatched to the Seller, whichever is the earlier.
5. Buyer's rights
5.1 The Buyer has the right to purchase goods in the Online Shop in accordance with these Terms and Conditions.
5.2 The Buyer shall have the right to withdraw from the contract for the purchase of goods concluded in the online shop by notifying the Seller in writing no later than 14 (fourteen) calendar days from the date of delivery of the goods.
5.3. the Buyer may exercise the Buyer's right referred to in clause 5.2 only if the goods have not been damaged or substantially altered in appearance, nor have they been used.
6. Obligations of the Buyer
6.1 The Buyer is obliged to pay for the goods purchased and to accept them in accordance with these Conditions.
6.2 If the Buyer refuses to accept the goods at the time of delivery without good reason, the Buyer shall be liable for the cost of returning the goods at the Seller's request.
6.3 At the time of delivery of the Goods to the Buyer, the Buyer shall inspect the condition of the consignment and the Goods(s) together with the Seller or the person delivering the consignment.
6.4 By using the online shop, the Buyer confirms that he/she accepts these Terms and Conditions of Sale and must comply with them.
7. Prices of goods
7.1 The prices of the Goods in the Online Shop are quoted in Euros. Prices are inclusive of VAT. Once the order has been confirmed, delivery charges, if any, shall be added to the total amount of the goods.
8. Ordering and payment of goods
8.1 The Customer shall select the goods he likes and place them in his shopping cart when visiting the online shop. After the shopping cart has been created, the Buyer shall enter the personal data necessary for the execution of the order: his/her name, surname, the address to which the goods will be delivered, telephone number and any additional information that may be relevant for the delivery of the goods ordered. The Buyer acknowledges that he/she has read these Rules and confirms the order.
8.2 Payments can be made using Swedbank, Seb, Luminor, Citadele, Šiaulių Bankas electronic banking services and Visa / MasterCard payment cards. Payments can be made in Euro currency. Payments are processed using the MakeCommerce.lt payment platform.
9. Delivery of goods
Our delivery policy is that we will make every effort to deliver the goods as soon as possible after receipt of payment for the order, the goods will be dispatched by the parcel service of the buyer's choice and delivered within 2-3 days unless otherwise stated on the product card, but we will not be liable for any loss, consequence or damage caused to you as a result of the delay. In this case, we may inform you of the delay and the reason for the delay. Prompt and high quality service is our priority!
9.1 When ordering goods, the Buyer must specify the exact delivery address.
9.2 The Buyer must accept delivery of the goods himself. If the Buyer is unable to take delivery of the goods himself, but the goods are delivered to the address specified by the Buyer, the Buyer shall not be entitled to make any claim against the wrong person for the delivery.
9.3 The Seller shall deliver the Goods to the Buyer in accordance with the terms set out in the descriptions of the Goods.
9.4 The characteristics of all goods sold shall be set out in the description attached to each good. The Seller shall not be liable for the fact that the colour, shape or other parameters of the goods in the online shop may not correspond to the actual size, shape and colour of the goods due to the characteristics of the monitor used by the Buyer.
9.5 If the Buyer withdraws from the contract for the sale of goods, the Buyer shall be refunded all sums paid by the Buyer, including the costs of delivery of the goods.
9.6 Available delivery methods:
- Omniva Post Office throughout Lithuania;
- Omniva Courier throughout Lithuania to the address you specify;
- DPD Post Office throughout Lithuania;
- DPD Courier throughout Lithuania at the address you specify;
9.7. Delivery is FREE for a basket of goods over 150,00€.
9.8. maximum dimensions of the parcel to be sent by post - 61x43x36 cm, parcel weight up to 20 kg.
9.9 Orders are accepted 24 hours a day, weekdays 8:00 - 17:00.
10. Returns
Returns of quality goods are made in accordance with the applicable legislation:
10.1 In order to exercise the right to return goods purchased through e-commerce, the Buyer must inform the Seller of the cancellation of the contract of sale and purchase of goods:
- inform the Seller of his wish to return the goods by e-mail to [email protected] within 14 (fourteen) days from the date of delivery/collection of the goods by completing the withdrawal form; (RETURN FORM)
- return the Goods to the Seller no later than 14 (fourteen) days from the date of submission of the Return Form. The Buyer shall return the goods by its own transport or pay the return shipping costs, in which case the shipping costs shall be deducted from the amount of the order to be returned.
10.2 Goods returned or exchanged must be of good quality, must be in good condition, must not be damaged, must not have lost their merchantable appearance (labels removed or damaged, packaging intact.) and must not have been used.
10.3 The Goods must be returned in their original packaging, in the same condition as when received by the Customer, and must be accompanied by the document of purchase
10.4 The Buyer shall not be entitled to return these goods:
- Goods of good quality which have been used by the Buyer, damaged, or the packaging damaged, or the goods have lost their merchantable appearance as a result of any other action taken by the Buyer, as well as goods which are not complete in all respects
10.5 Returns of goods after purchase of low quality goods:
- In the event that the reason for the return of the goods is the purchase of goods of inadequate quality, we shall be obliged to replace the inadequate quality goods with goods of adequate quality at our own expense or to reimburse the money paid for the goods, where the goods are of inadequate quality due to the fault of the manufacturer, i.e. where there are no identified damages caused by the Buyer's improper use, no damage, no replacement parts, the serial number of the goods purchased is the same as that of the returned goods etc.
11. Warranty conditions for goods
11.1 These terms and conditions of the guarantee of the quality of the goods are public and can be found on the websites www.adanus.lt and www.adalys.lt .
11.2 At the time of sale of the goods, full information about the goods sold shall be given orally, at the request of the buyer, with particular reference to these guarantee conditions.
11.3 By paying the price of the goods, the buyer acknowledges that he understands the terms of the guarantee of the quality of the goods and that he may not in future rely on his ignorance of them
11.4 The terms and conditions of the guarantee of the quality of the Goods shall form a binding part of the contract of sale.
11.5 With the exception of the exceptions and special conditions set out below, the goods sold by UAB Adanus shall be subject to a quality guarantee for a period of one year, but not exceeding 30,000 kilometres of mileage. Note: If the normal replacement period of the goods is less than 30,000 km (e.g. filters, spark plugs, operating fluids, etc.), the quality guarantee shall only be granted until the end of the normal replacement period of the goods, but in any case not exceeding one year.
11.6 Shorter quality guarantee periods shall apply to the following goods sold by UAB Adanus:
- Six months for goods installed in a vehicle used for the provision of passenger transport services.
- Three days for ARB, ARG and FAHRMANN bearings (subject to the quality guarantee periods established by the suppliers of these goods).
11.7 Longer quality guarantee periods are provided for the following goods sold by UAB Adanus:
- Three years for Energizer batteries, regardless of mileage.
- Two years for batteries (other than Energizer), regardless of mileage. Note: Batteries used in trucks, buses, special vehicles and agricultural machinery are covered by a one-year quality guarantee.
11.8 Special conditions for the provision of a product quality guarantee:
- For suspension shock absorbers, the quality guarantee is only valid if both shock absorbers on one axle are replaced together.
- The quality guarantee for glow plugs and spark plugs is only valid if all glow plugs and spark plugs in the engine are replaced together.
- For clutch parts, the quality guarantee is only valid if the entire clutch assembly is replaced at the same time: clutch disc, clutch disk and clutch bearing.
- For main timing belts, the quality guarantee is limited to the simultaneous replacement of all main timing belt tension bearings, including the hydraulic tension bearings.
- For brake discs, the quality guarantee shall only be valid if both brake discs on the same axle are replaced at the same time as new brake pads are fitted.
- For cylinder head gaskets fitted with angle-tightening, the quality guarantee shall only be valid when the gasket is fitted together with new head bolts.
- The quality guarantee for the hydraulic expansion joints is only valid if all the hydraulic expansion joints in the engine are replaced together.
11.9 The quality guarantee for the Goods shall apply only if the conditions for its granting, including special conditions, are fulfilled, and the Buyer shall submit documents confirming this to Adanus UAB together with the Complaint Report.
11.10 The quality guarantee period shall commence from the date of delivery of the goods to the Buyer. The mileage shall be determined on the basis of a correctly completed Complaint Form:
- The quality guarantee does not apply if:
- The goods purchased from Adanus UAB have been installed by a garage which cannot certify its proper qualification in accordance with the manufacturer/supplier's requirements.
- The goods purchased from Adanus UAB have not been installed and/or operated in accordance with the manufacturer's/supplier's requirements and instructions.
- When claiming defects in the goods, the buyer does not provide the original document confirming the purchase of the goods from Adanus UAB (cash register receipt, sales receipt or other document confirming the purchase of the goods) and the warranty card, if any.
11.12 The terms of the guarantee for the quality of the goods shall not be extended.
11.13. Goods shall be accepted for warranty service provided that all the conditions set out above are met.
11.14. In order to obtain warranty service, the Buyer must fill in the Complaints Act in the form prescribed by UAB Adanus in detail and accurately at the place of purchase.
11.15. The goods, together with the necessary documents and the Complaint Act, shall be handed over to UAB Adanus for the latter to initiate an expert examination to determine the causes of quality defects. Note: If the goods are components of a single system/block (e.g. clutch part, gas distribution mechanism part, brake part, etc.), the buyer must provide all the related parts of the system/block at the request of Adanus UAB; otherwise the goods will not be accepted for warranty service.
11.16. Within one month from the date of acceptance of the goods for warranty service, UAB "Adanus" shall inform the Buyer by telephone of the conclusions of the expert examination and the results of the examination of the Complaint Act.
11.17. If, after the expert examination, the quality defects indicated by the Buyer in the Complaint Act are confirmed, for the occurrence of which the Buyer is not responsible, UAB Adanus shall replace the goods with goods of suitable quality. The replaced goods shall not be returned to the Buyer. If the buyer has purchased analogous goods from UAB Adanus for replacement at his own expense during the period under consideration, the buyer shall, at his option, be reimbursed for the purchase price of those goods in accordance with the purchase documents provided (without replacing or returning the goods submitted for warranty service), or shall be replaced by the goods of the quality of the goods first purchased (without reimbursement of the price of the analogous goods purchased in their place).
11.18. If, after the expert examination, the quality defects indicated by the Buyer in the Complaint Act are not confirmed or if it is established that the Buyer is responsible for the defects, Adanus UAB shall return to the Buyer the Goods submitted by the Buyer for warranty service without reimbursing the Buyer for any costs incurred in this respect. If the goods have been sent to the manufacturer/supplier for examination, Adanus reserves the right not to return the goods to the buyer if the buyer's claims are rejected.
11.19. Goods are handed over and returned for after-sales service at the place of purchase, when the buyer arrives at the respective UAB Adanus sales premises at the appropriate time.
11.20. The costs of the expert examination shall be borne by the party to whose disadvantage the findings are made.
11.21. Within the specified quality guarantee period, goods of suitable quality may be returned to UAB Adanus only if all of the following conditions are met:
- The 14-day return period has not expired, calculated from the date of delivery of the goods to the buyer.
- The goods shall be accompanied by the original document confirming their purchase from UAB Adanus (cash register receipt, sales receipt or other document confirming the purchase of the goods) and the warranty card, if any.
- The goods are packed in their original, undamaged packaging.
- The goods have not been assembled or installed.
- The goods are not damaged or otherwise defective.
- The goods have not lost their merchantable appearance and characteristics at the time of transfer to the buyer.
12. Final provisions
12.1 These Terms and Conditions are drawn up in accordance with the legislation of the Republic of Lithuania.
12.2 These Conditions and the relationship between the Parties hereto shall be governed by and construed in accordance with the laws of the Republic of Lithuania.
12.3 All disagreements arising out of the performance of these Terms and Conditions shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
12.4 The Parties shall be excused from the performance of their obligations under these Terms and Conditions if such performance is prevented by unforeseen circumstances beyond the control of the Parties (Force Major).
